Terms & Conditions

These Terms & Conditions ("Terms") govern your use of Akita Phone ("Service"), operated by Akita ("we", "us", "our"). By creating an account or using the Service you agree to these Terms.

1. The Service

Akita Phone is a cloud business phone service including SIP-based voice calling, softphone applications for mobile and web, direct inbound dial numbers (DIDs), voicemail, call recording, transcription, SMS messaging, IVR, and related features. Availability of individual features depends on your plan.

2. Account & Eligibility

You must be at least 18 years old and authorized to bind the organization on whose behalf you register. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity under your account.

3. Acceptable Use

You agree not to use the Service to (a) violate any law or regulation; (b) send unsolicited commercial messages, spam, or any communication that would violate the TCPA, CAN-SPAM Act, CTIA guidelines, TCR rules, or carrier acceptable-use policies; (c) place calls or messages to persons on any applicable Do-Not-Call or Do-Not-Text registry without a valid exemption; (d) impersonate another person or entity; (e) interfere with the Service or attempt to gain unauthorized access.

4. SMS Program

If you use SMS messaging capabilities, you agree to comply with our SMS Terms & Conditions and all applicable messaging laws and industry standards, including but not limited to obtaining prior express written consent from every recipient, honoring opt-outs, and providing required disclosures at the point of consent.

5. Fees & Billing

Fees for the Service are billed on the schedule shown at signup or as later updated in writing. All fees are non-refundable except as required by law. You are responsible for taxes and for any usage-based charges (per-minute international calls, per-message SMS beyond plan allowance, etc.).

6. Emergency Services (E911)

Voice over IP services have limitations for emergency calls. You are responsible for maintaining accurate registered address information for each device and endpoint used with the Service. In an emergency you should be prepared to place calls from an alternate line (traditional landline or cellular) if the Service is unavailable due to power, network, or other outage.

7. Service Availability

We work to keep the Service available but do not guarantee uninterrupted operation. Scheduled maintenance and events outside our reasonable control (upstream carrier outages, force majeure) may affect availability.

8. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AKITA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Termination

Either party may terminate the Service subject to the notice period in your plan agreement. We may suspend or terminate immediately for material breach, non-payment, or abuse. Upon termination your access to the Service ends; some information may be retained per Section 5 of the Privacy Policy.

11. Changes to These Terms

We may update these Terms; material changes will be communicated by email or through the Service. Continued use of the Service after the effective date of a change constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the state where Akita is domiciled, without regard to conflict-of-law principles. Any dispute will be resolved in the courts of that jurisdiction.
